Description

The value of a firm depends on good corporate governance (CG) practices protecting investors. Greater protection of shareholders lowers the cost of capital due to better risk mitigation. Corporate governance deals with the complex set of relationships between the corporation and its board of directors, management, shareholders, and other stakeholders. In the recent years, the regulators and legislators have intensified their focus on how businesses are being run. They are endeavoring to create a template for new corporate governance and disclosure measures, which is beneficial for both the stakeholders and controllers. Thus, the set of governance practices, rules, and regulations that promote private sector investment and jobs creation also promote firm value. This course is focusing on the vital role of CG officers and experts in all kinds of companies and banks in ensuring the compliance with the regulations and directives set by the market regulators such as the Financial Regulatory Authority FRA and the Central Bank of Egypt.

Objectives

  • Corporate governance is the set of mechanisms used to manage the relationship among stakeholders and to determine and control the strategic direction and performance of organizations. By the end of this course, students should be aware of the following: Corporate governance is the set of processes, customs, policies, laws, and institutions affecting the way a corporation (or company) is directed, administered or controlled. Corporate governance also includes the relationships among the many stakeholders involved and the goals for which the corporation is governed. The principal stakeholders are the shareholders, the board of directors, employees, customers, creditors, suppliers, and the community at large. Corporate governance is a multi-faceted subject. An important theme of corporate governance is to ensure the accountability of certain individuals in an organization through mechanisms that try to reduce or eliminate the principal-agent problem. Corporate Stakeholder and Engagement Management, which enables you to evaluate essential differences, issues and complex relationships between organizations and diverse stakeholder groups including clients, customers and employees. The Board and Good Governance, which allows you to critically evaluate the legal duties of directors and the board and considers essential differences between the directors, managers, and owners of a business. Discovery and analysis of competitive information from open-source intelligence. Sources and methods for data collection; legal issues and constraints; analysis processes; longitudinal aspects; inference. The global best practice knowledge in corporate governance environment, the corporate forms, proper corporate, legal, and regulatory frameworks necessary to perform the duties of the board in protecting the rights of the shareholders. The causes and consequences of agency problems due to inherent conflicts of interest between shareholders, the board of directors, and the executive management and other stakeholders in governance. How transparency, responsibility, accountability, and fair and equitable treatment of all shareholders form the basis of good corporate governance practices. The control environment with all the details related such as internal control system, internal audit committee, risk management and compliance issue. The issues of disclosure, transparency, CSR, and sustainability reports.
